Hipo Heroes offers products and services to help (a) you develop in your career journey and (b) businesses reach quality candidates and recruit individuals to become (1) part of their talent pool, (2) employees and/or (3) consultants of the Client, or, if a Client is acting as a staffing, recruitment or executive search agency, to do this for its clients. In order to do this, Hipo Heroes offers various products and services, including resources & tools and Opportunities.

1. Definitions

Hipo Heroes: a company incorporated under the laws of the Netherlands. The company is registered with the Dutch Chamber of Commerce under registration number 86401769. The company’s registered office is in, Amsterdam, The Netherlands. Hipo Heroes is also referred to as “we”.

Heroes: natural persons that access the Platform or otherwise make use of the Hipo Heroes network or Services. Heroes are also referred to as “you”, “Users” and “Visitors”.

Opportunity: a job vacancy or Talent Pool opportunity published on the Platform.

Platform: the website at www.hipoheroes.com.

Services: any services Hipo Heroes offers in addition to the publication and distribution of an Opportunity via the Platform, including but not limited to information and tools Hipo Heroes provides and events Hipo Heroes organises.

Talent Pool: a database of potential job candidates to meet a business’ immediate and/or long-term needs.

Terms: these general terms & conditions.

 

2. Applicability

These Terms apply to the relationship between Hipo Heroes and Users for the access to and use of the Platform and use of the Services. Access to and use of the Platform and Hipo Heroes services is subject to these Terms. By accessing and using the Platform and Services, you warrant that you can legally enter into an agreement and you also agree to the Terms. 

 

3. Platform

3.1 Via the Platform, Users obtain access to articles, Opportunities and other resources and tools to help Users in their career journey. Users who use the (information on) the Platform or the Services provided by Hipo Heroes do so entirely at their own risk.

3.2 Users agree that they will not, and will not enable, the use of or the content available on the Platform, distributed by Hipo Heroes, or the Services provided to: 

• Breach any third party’s intellectual property rights;

• Send spam to natural persons or businesses;

• Contact natural persons or businesses other than for purposes related to the specific employment or Talent Pool opportunity described in the Opportunity; 

• (Intentionally) misrepresent or otherwise share false or (materially) incomplete or inaccurate information relevant for an Opportunity (including but not limited to previous professional experience, qualifications and skills) when applying for an Opportunity; 

• Engage in illegal or fraudulent conduct or engage in solicitations that violate applicable laws or regulations;

• Except as expressly authorised by Hipo Heroes in writing, use automated means to access, modify, download or otherwise collect information from the Platform or Hipo Heroes network; and

• Except as expressly authorised by Hipo Heroes in writing, copy, modify or create derivative works of the content available or previously available on the Platform.

3.3 User understands that Hipo Heroes is a platform used by businesses and recruitment and executive search agencies to publish vacancies for a specific target group. User agrees to only send questions about or job applications for an Opportunity directly to the relevant company or job poster via the instructions, links or contact details listed in the Opportunity itself or as otherwise provided by Hipo Heroes. 

3.4 In the event of a breach of article 3.2, the User will be liable to Hipo Heroes for an immediately payable amount of EUR 500 per breach and EUR 100 for each day on which the breach continues after a notice of the breach has been sent to the User by Hipo Heroes. This penalty does not prejudice Hipo Heroes’ entitlement to compensation for damages insofar such damages exceed the amount of the penalties incurred. 

 

4. Third party information & (hyper)links

As part of the Platform, Hipo Heroes may provide hyperlinks or affiliate links to other websites or applications not under our control. Hipo Heroes is not responsible or liable for the content, use or availability of any such linked websites or applications. Hipo Heroes provides these links as a convenience, and the inclusion thereof does not imply an endorsement by Hipo Heroes of information, products or services offered on or via these websites or applications. Use of hyperlinks, information, products and services offered is at the User’s risk. Affiliate links are explicitly listed as such. 

 

5. Intellectual Property Rights

5.1 Unless otherwise indicated, all content featured or displayed on the Platform, via the Services or otherwise distributed by Hipo Heroes, including but not limited to text, graphics, photographs and software belong to Hipo Heroes or its partners, and is protected by copyright, trademark and other laws relating to intellectual property rights. 

5.2 Users will have access to the content and materials on the Platform and via other channels. With the exception of personal, non-commercial use, any copying, downloading or form of publishing or distribution is strictly prohibited without prior written consent by Hipo Heroes or the approval of the party which holds the respective intellectual property rights. 

5.3 Copying, multiplication or alteration of the Platform or Services provided by Hipo Heroes or the brand identity of Hipo Heroes is also strictly prohibited.

 

6. Warranties

6.1 Hipo Heroes takes great care to present data & information and other content accurately but makes no warranties about the accuracy, reliability, completeness, or timeliness of the material, services, graphics and/or (hyper)links provided. 

6.2 Hipo Heroes does not accept any responsibility whatsoever for unavailability of the Platform, or any difficulty or inability to download or access content or any other communication system failure which may result in the Platform being unavailable. 

6.3 To the maximum extent permitted by law, Hipo Heroes hereby disclaims all implied warranties regarding the Platform (including newsletters and (other) digital marketing campaigns). The Platform and means to distribute Opportunities are provided “as is” and “as available” without warranty of any kind. 

 

7. Liability 

7.1 Hipo Heroes nor its employees, affiliates or other representatives will be liable for any loss, expense or damages whatsoever arising from the use of or performance of the Platform or Services or from any information, services or products represented or provided through the Platform or Services, including but not limited to: 

1. the content on the Platform, including Opportunities; 

2. the operation and availability of the Platform or tools used by Hipo Heroes to distribute Opportunities or provide other Services; 

3. any defects, viruses or other flaws in hardware or software, including data loss, in connection with or as a result of access to or use of the Platform or the Services;

4. abuse of Hipo Heroes’ Platform or Services;

5. any indirect damage or consequential loss, including but not limited to damage arising under or in connection with the Agreement or these Terms, loss of turnover, loss of goodwill, loss of profit or any other forms of unrealised benefits. 

7.2 The User will indemnify, defend, and hold Hipo Heroes harmless from and against all claims (actual or threatened), liabilities, damages and costs (including settlement costs and legal fees) arising out of third party claims regarding: (a) any injury or damages resulting from behaviour of the User related to the use of the Platform (including, for the avoidance of doubt, the Opportunities) or other Services, and (b) breach by the User of these Terms or violation of any applicable law, regulation or order in relation to the performance, purported performance or non-performance of any of the User’s obligations hereunder..

 

8. Privacy

When the User accesses and makes use of the Platform and Services, Hipo Heroes will collect certain personal data from the User. You can find our Privacy Policy here.

 

9. Miscellaneous

9.1 Hipo Heroes reserves the right to change the Terms at any time. In case of a change of the Terms, Hipo Heroes will notify the User in writing. By continuing to use the Platform and Services after such notification, the Client acknowledges and agrees to the most recent version of these Terms.

9.2 If Hipo Heroes does not enforce (parts of) the Terms, this cannot be construed as consent or waiver of the right to enforce them at a later moment in time.

9.3 The Terms supersede all prior agreements between Hipo Heroes and the User.

9.4  The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision of these Terms. Any such invalid or unenforceable provision shall be replaced or be deemed to be replaced by a provision that is considered to be valid and enforceable and which interpretation shall be as close as possible to the intent of the invalid provision.

 

10. Applicable law & jurisdiction

10.1 All Agreements as well as these Terms shall be exclusively governed by and interpreted in accordance with the laws of the Netherlands. 

10.2 Any dispute, controversy or claim brought by the Client shall be submitted to the competent courts of Amsterdam, the Netherlands. This provision shall not preclude Hipo Heroes from bringing an action before any other competent court.
